Columbus Gold Corporation (the "Company") intends to establish a formal Code of Conduct intended to promote responsible decision making and define and document the standards of conduct, integrity and ethics to be followed by the Company's officers, directors and employees.
Its purpose will be to promote and foster a culture of accountability, transparency, honesty and ethical conduct and to promote the avoidance of conflicts of interest between the Company's officers and directors as individuals and the interests of the Company.
The Code of Conduct will encourage full, fair, accurate, understandable and timely disclosure in financial statements, reports and documents and of material information, to shareholders and regulatory agencies. It will provide guidance to officers, directors and employees to help them recognize and deal with ethical issues and provide mechanisms to promptly report unethical conduct.
The Company will comply with all legislative and legal requirements which affect its business. The Company's officers, directors and employees will respect confidentiality of all information of a confidential nature which is acquired in the course of the Company's business and not disclose or make improper use of such confidential information unless authorized or legally mandated to do so.
The directors, officers and employees of the Company also have an obligation to deal in a fair and responsible manner with each of the Company's third parties.
